1. Introduction

Welcome to BnkPay. These Terms & Conditions (“Terms”) govern your use of our platform and services. By accessing or using BnkPay, you agree to comply with these Terms. If you do not accept them, you must not use the service.

BnkPay is a technology platform operated by Nexicode Ltd (Company No. 15555102). BnkPay does not process, hold, or transmit funds. All payment transactions are conducted via a regulated third-party Payment Initiation Service Provider (the “Payment Provider”).

We are not a bank, financial institution, or regulated payment service provider. Our role is to facilitate connections between businesses and Open Banking technology.

2. Our Role and Responsibilities

BnkPay provides businesses with tools to create and track secure bank payment requests via QR codes, NFC tags, and shareable links.

• We do not process or execute payments

• We do not hold or control any customer funds

• We do not act as a regulated entity under the Financial Conduct Authority (FCA)

All regulated payment activity is handled exclusively by our Payment Provider, authorised by the FCA. BnkPay acts solely as a technical facilitator.

3. How BnkPay Works

1. Customers scan a QR code, tap an NFC tag, or click a payment link

2. They are redirected to a secure payment page to confirm the amount

3. The customer completes the payment via their bank’s mobile app or online banking

4. The business receives the funds directly into their own bank account

BnkPay never sees, stores, or accesses the customer’s login details or banking credentials.

4. Business User Responsibilities

By using BnkPay, you agree that:

• You will only use the platform for lawful business activities

• You will provide accurate, up-to-date business and banking information

• You are solely responsible for refund requests, customer disputes, and compliance with applicable laws, including anti-money laundering (AML) regulations

• You must not use BnkPay for fraudulent, deceptive, or unauthorised purposes

We reserve the right to suspend or terminate your account at any time if we believe you are in breach of these Terms or engaging in high-risk or non-compliant behaviour.

5. Customer Protection & Disclaimers

Customers should only pay businesses they trust. BnkPay does not verify the legitimacy of individual businesses using our platform.

• Customers must contact the business directly regarding refunds or issues

• BnkPay is not responsible for payment disputes, errors, or delays

• Payments are subject to your bank’s and the Payment Provider’s processing policies

6. Compliance & Data Protection

BnkPay is committed to data protection and compliance with the UK GDPR.

For certain payment flows, BnkPay and the Payment Provider act as joint data controllers. Your business data and certain transaction metadata may be shared solely to enable payment initiation and maintain audit trails.

7. Subscription and Fees

Access to BnkPay services is subject to a monthly subscription fee, billed in advance. All subscription fees are non-refundable, even if you cancel or stop using the platform.

We may adjust pricing in future. Businesses will be notified at least 30 days in advance of any material changes.

8. Refunds and Disputes

BnkPay does not handle refunds or process payments.

• Refunds must be managed directly between the business and the customer

• BnkPay does not offer dispute resolution, chargeback services, or customer support for financial transactions

9. Intellectual Property

All intellectual property rights related to BnkPay, including its branding, interface, and platform design, remain the exclusive property of Nexicode Ltd. You may not copy, reproduce, modify, or reverse engineer any part of our platform.

10. Suspension & Termination

We may suspend or permanently revoke your access to BnkPay if:

• You breach these Terms

• You misuse the service or violate financial laws

• Your activity risks harming BnkPay’s integrity, security, or reputation

• You fail to pay subscription fees

You may cancel your subscription at any time with 7 days' written notice, but no refunds will be issued.

11. Liability & Limitations

To the maximum extent permitted by law:

• BnkPay is not liable for any indirect, incidental, or consequential loss

• We are not responsible for failed, delayed, or rejected payments

• We do not guarantee uninterrupted availability of the service

You agree to indemnify BnkPay for any losses or claims arising from your use of the platform, including any breach of these Terms or misuse of the service.

12. Changes to These Terms

We may update these Terms occasionally. Any material changes will be notified to you in advance by email and/or on our website. Continued use of the platform after changes take effect constitutes your agreement to the new Terms.

13. Governing Law

These Terms are governed by the laws of England and Wales. Any disputes arising from your use of BnkPay shall be subject to the exclusive jurisdiction of the courts of England and Wales.
